Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of JellyNet (“the Platform,” “we,” “us,” or “our”), an API capacity-sharing marketplace operated from Bangalore, Karnataka, India. The Platform is accessible at https://www.jellynet.net and via our API endpoints.

By creating an account, accessing the Platform, or using any of our services, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy (collectively, the “Agreement”). If you do not agree to any part of this Agreement, you must not use the Platform.

We may update these Terms from time to time. We will notify you of material changes by updating the “Last updated” date above and, where appropriate, by email or in-app notice. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms.

2. Description of Service

2.1 What JellyNet Is

JellyNet is an API capacity-sharing marketplace. The Platform enables:

  • Suppliers to contribute idle or underutilised API capacity (keys) from third-party AI and LLM providers, and earn a share of revenue when those keys serve calls for other users.
  • Buyers (including developers, businesses, and autonomous AI agents) to access pooled API capacity across multiple providers through a single universal API key (jn_xxx).

2.2 What JellyNet Is Not

JellyNet is an intermediary routing and payment-processing layer. We do not:

  • Create, own, operate, or control any upstream AI model or API provider.
  • Guarantee the availability, accuracy, quality, or output of any upstream API.
  • Endorse, approve, or claim affiliation with any third-party API provider unless explicitly stated.
  • Resell API access. JellyNet facilitates capacity sharing between its users. Each supplier is independently responsible for their contributed keys and their compliance with the relevant upstream provider’s terms.

2.3 Capacity-Sharing Model

The Platform operates a pooled capacity model:

  • Suppliers contribute API keys they hold valid subscriptions for. These keys are encrypted at rest and used solely to route API calls on behalf of buyers.
  • A supplier’s own calls to protocols where they have contributed keys are served free of charge from their own capacity, until that capacity is exhausted. Charges only apply when consuming capacity from other suppliers’ pools.
  • Calls from buyers are routed via weighted-random rotation across available supplier keys in the relevant protocol pool, with automatic failover and retry on transient errors.
  • Revenue from paid calls is distributed to suppliers proportionally based on calls served, settled in 8-hour epoch cycles.

3. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher) to use the Platform. By using JellyNet, you represent and warrant that you meet this requirement.

If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

The Platform may not be available in jurisdictions where stablecoin micropayments, cryptocurrency transactions, or similar digital payment services are prohibited by applicable law. You are responsible for ensuring your use of the Platform complies with all laws applicable to you.

4. Account Registration and Security

4.1 Account Creation

You may create an account using Google OAuth or email-based authentication (magic link or OTP). You must provide accurate and complete information during registration.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at admin@jellynet.net if you believe your account has been compromised.

4.3 Account Restrictions

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms or any applicable law.
  • Engage in fraudulent, abusive, or harmful activity.
  • Attempt to manipulate Platform metrics, health scores, or transaction records.
  • Operate in a manner that degrades the experience for other users.

Multiple accounts per individual are permitted and tracked by our system. We normalise email addresses to detect trivial variants (e.g., Gmail dot tricks, plus aliases).

5. Supplier Terms

5.1 Key Contribution

By contributing an API key to the Platform, you (“Supplier”) represent and warrant that:

  • You hold a valid, active subscription or licence for the API key you are contributing.
  • You have reviewed and understand the terms of service of the upstream API provider associated with each key you contribute.
  • You accept sole responsibility for ensuring your use of each contributed key (including its use by the Platform to route calls on your behalf) complies with the upstream provider’s terms.
  • You understand and accept that contributing keys to a capacity-sharing pool may carry a risk of account action (including suspension or revocation) by the upstream provider. JellyNet’s efforts to prevent such outcomes are provided on a best-effort basis and do not constitute a guarantee against upstream enforcement.

5.2 Key Limits and Validation

  • There is a soft cap of 5 keys per protocol per account, which may be adjusted by us.
  • Keys are validated on submission. We may perform a test call to verify that a key is active and functional before accepting it into the pool.
  • You may revoke or remove your contributed keys at any time via your dashboard.

5.3 Earnings and Payouts

Suppliers earn a share of revenue from calls served by their contributed keys. Under the current pricing model:

  • Opt-in native-call mode: 60% to supplier, 30% buyer discount, 10% Platform fee.
  • API-key-only mode (default): 50% to supplier, 20% buyer discount, 10% Platform fee.

Earnings are calculated per protocol pool and distributed proportionally to each supplier based on the number of successful calls their keys served during each 8-hour epoch.

Earnings accrue as Platform credits. Suppliers may withdraw credits as USDC on Solana or as fiat currency via Stripe Connect (where available).

We reserve the right to adjust the revenue-sharing percentages with 30 days’ prior notice.

5.4 Supplier Obligations

As a Supplier, you agree to:

  • Only contribute keys for APIs you have the legal right to share capacity from.
  • Not contribute keys that facilitate illegal activity, CSAM, violations of third-party rights, or circumvention of geographic restrictions.
  • Maintain the availability of your upstream API subscription to the best of your ability.
  • Accurately describe the API capacity you are contributing (provider, model, tier, rate limits).
  • Not attempt to manipulate health scores, earnings calculations, or other Platform metrics.

5.5 Non-Earning Events

Suppliers earn nothing on:

  • Calls that result in a 5xx (server error) or rate-limit (429) response from the upstream provider. These calls are automatically refunded to the buyer.
  • Calls to their own keys (self-serve usage is free).

6. Buyer Terms

6.1 Universal Key and Routing

Buyers receive a single universal API key (jn_xxx) that provides access to the full protocol catalog. The Platform’s router automatically detects the requested model and path, dispatching calls to the appropriate protocol pool. Calls are distributed across available supplier keys using weighted-random rotation, with automatic retry on transient failure (default: 3 attempts within ~9 seconds).

6.2 Payment Rails

  • Fiat (Stripe): Human users pay via Stripe. Funds are converted to Platform credits at the posted exchange rate.
  • x402 (Stablecoin): AI agents and programmatic users may pay per-call using the x402 payment protocol with USDC on Solana (primary) or Base (secondary). Payments are verified on-chain before the call is routed.

6.3 Refunds and Credits

  • 5xx and rate-limit errors: Automatically refunded as Platform credits.
  • 4xx errors (client errors): Not refunded. These indicate issues with the buyer’s request.
  • Blockchain payments (x402): On-chain payments are final. Refunds for failed calls paid via x402 are issued as Platform credits, not on-chain reversals.

6.4 Buyer Obligations

As a Buyer, you agree to:

  • Not attempt to circumvent payment requirements or exploit payment verification.
  • Not use the Platform to conduct DDoS attacks, spam, scrape, or otherwise abuse upstream APIs.
  • Comply with the terms of service of any upstream API you access through the Platform.
  • Maintain sufficient balance (credits or wallet funds) before initiating calls.
  • Not attempt to reverse-engineer the Platform’s routing logic, extract supplier key material, or identify individual suppliers.

7. Acceptable Use Policy

You may not use the Platform to:

  • Violate any applicable law, regulation, or third-party right.
  • Transmit content that is illegal, defamatory, threatening, harassing, or harmful.
  • Generate or facilitate the generation of CSAM, non-consensual intimate imagery, or material that promotes violence or terrorism.
  • Circumvent geographic restrictions imposed by upstream API providers.
  • Conduct any activity that degrades Platform performance or the experience of other users.
  • Attempt to access, tamper with, or probe the security of the Platform’s infrastructure, databases, or other users’ accounts.
  • Use automated means other than through our published API endpoints using a valid buyer key.
  • Interfere with the Platform’s rate-limiting, retry, or rotation mechanisms.

Violation may result in immediate account suspension, forfeiture of pending earnings or credits, and referral to law enforcement.

8. Pricing and Fees

8.1 Pricing Tiers

  • Free tier: JellyNet sets a single fixed global price per protocol.
  • Paid tier: Default price is the upstream provider’s retail price minus 30%. Suppliers may override their individual pricing within a ±15% band of the default.

8.2 Platform Fee

JellyNet retains a 10% platform fee on each paid call (both fiat and x402 rails). The fee is deducted before supplier earnings are credited.

8.3 Price Changes

We may adjust pricing tiers, fee structures, and revenue-sharing percentages. Material changes will be communicated with at least 30 days’ notice.

9. Intellectual Property

9.1 Platform IP

The Platform, including its software, design, branding, documentation, and all related intellectual property, is owned by JellyNet and its founders. These Terms do not grant you any right, title, or interest in the Platform beyond the limited licence to use it in accordance with these Terms.

9.2 Supplier IP

Suppliers retain all rights to their upstream API subscriptions. By contributing a key, you grant JellyNet a limited, revocable licence to use that key solely for routing API calls through the Platform, and to display associated metadata (provider name, model name, category) on the marketplace.

9.3 Buyer IP

Buyers retain all rights to the prompts they submit and the outputs they receive through the Platform. JellyNet does not claim any ownership of buyer input or output data. JellyNet does not log, store, or inspect the content of API request or response bodies.

10. Disclaimers and Limitation of Liability

10.1 “As Is” Service

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Upstream Guarantees

JellyNet does not warrant that any particular upstream API will be available, accurate, or performant; that the Platform will be uninterrupted or error-free; or that supplier keys will not be subject to action by upstream providers.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JELLYNET AND ITS FOUNDERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOSS OF DIGITAL ASSETS, LOST PROFITS, FAILED TRANSACTIONS, API DOWNTIME, OR DATA LOSS.

JELLYNET’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES PAID BY YOU IN THE 30 DAYS PRECEDING THE CLAIM, OR (B) USD $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless JellyNet and its founders, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the Platform in violation of these Terms; your violation of any applicable law or third-party right; your contributed API keys or the upstream provider’s response to your use of those keys (Suppliers); or content you transmit through the Platform (Buyers).

12. Beta Status and Data Practices

12.1 Beta Disclaimer

JellyNet is currently in beta. Features, APIs, pricing, and these Terms may change without notice during the beta period. We may reset data, balances, or configurations as needed. We will provide reasonable notice before any data reset.

12.2 Testnet and Mainnet

During beta, the Platform may operate on testnet networks for certain features. We will clearly indicate which features operate on testnet versus mainnet.

13. Termination

13.1 By You

You may close your account at any time by contacting us at admin@jellynet.net. Pending supplier earnings will be processed for withdrawal within 30 days. Your contributed keys will be immediately removed from all pools.

13.2 By Us

We may suspend or terminate your account at any time for violation of these Terms. If we terminate your account without cause, pending earnings and credits will be returned. If we terminate for cause (fraud, abuse), we reserve the right to forfeit pending earnings and credits.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us at admin@jellynet.net and attempt to resolve the dispute informally for at least 30 days.

14.2 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

14.3 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

14.4 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and JellyNet regarding your use of the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: JellyNet shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
